Abstract: Access to material nonpublic information regarding a public company brings with it heightened risk and responsibility, particularly when that information indicates that there has been a material misstatement of financial information regarding the company. Over the last few years, there have been several high profile developments in insider trading law and enforcement. In this presentation, Shawn and Seth will provide an overview of insider trading laws and the obligations placed upon and protections available for whistleblowers who have reported possible securities law violations.

Speaker Bios.:Shawn M. Turner is a partner in Holland & Knight's Denver office and is a member of the firm's Financial Services Practice Group. Mr. Turner has a particular emphasis on mergers and acquisitions, corporate finance and general business transactions. He currently serves as executive partner for Holland & Knight's Denver office.
Mr. Turner’s law degree comes from Case Western Reserve University. He also has an MBA from Case and a B.A. from Hanover College. Shawn is licensed to practice law in the states of Colorado and Ohio.
Mr. Turner primarily represents public and private companies in corporate and securities matters, bank regulatory issues and corporate governance matters. Additionally, he provides clients with general counseling as well as advising on acquisition and investment strategies, anti-takeover defenses, executive compensation and corporate governance, and Securities and Exchange Commission compliance matters.
Mr. Turner advises clients on public and private equity and debt financings as well as mergers and acquisitions and bank regulatory issues before both federal and state agencies. He has also represented one of the world's largest institutional private equity investors and other companies in transactions throughout North America, South America, Europe and Asia.
Prior to his law practice, Mr. Turner was the editor in chief of the Case Western Reserve Law Review as well as a founding member and president of Weatherhead Toastmasters, a local chapter of Toastmasters International. He also participated in Case Western Reserve University School of Law's Big Buddies program, which provides tutoring to inner city elementary school students.
Seth Belzley coordinates the Holland & Knight Energy Transactions team that includes professionals practicing in energy related mergers and acquisitions, financing, joint ventures, restructuring and project development. His practice focuses on advising clients on a wide range of transactional and regulatory issues with a focus on mergers and acquisitions, joint ventures, finance, project development, and commercial transactions. Mr. Belzley emphasizes the development of close, long-term, value-added relationships with his clients, who often turn to him first for advice relating to a wide range of issues and ask him to coordinate a team of specialists within the firm to handle their most complex matters.
Mr. Belzley’s law degree comes from the University of Texas. He also has a B.A. from Colorado College. Seth is licensed to practice law in the states of Colorado and Texas.
Mr. Belzley has significant experience in the energy industry that includes representing clients in the pipeline, midstream, oil and gas, renewable fuels, refining, and solar industries. He has served as lead counsel on the development of several significant pipeline, processing and terminal projects in the most important energy hubs in the country. He also regularly advises buyers and sellers of energy infrastructure assets on the sale of those assets or the formation of joint ventures to develop and operate those assets.
In addition, Mr. Belzley has had a longstanding commitment, both personally and as part of his legal practice, to helping business interests, government leaders and nonprofits navigate regulatory, policy and political issues on the local, state and national levels.
